The Alliance publishes its terms, privacy practices, charter reference, and refund terms for open review. Members and prospective members are asked to familiarize themselves with this page before registration.
I. Terms of Service
Effective MMXXVIThese Terms govern access to and use of the Alliance Of Real Estate Professionals (AOREP) website, online services, and membership programs. By registering with AOREP, using the site, or participating in the Alliance's network, you agree to these Terms. AOREP is organized as a for-profit company under the laws of the State of Wyoming.
Eligibility
Membership in AOREP is available to natural persons engaged in the profession of real estate or in services allied with its transactions, subject to the verification procedures described in the Governance Charter. Admission is at the Alliance's discretion and conditioned upon satisfactory completion of verification.
The Governance Charter
Members agree to abide by the Alliance's Governance Charter, including the founding principles set forth in Article III and the code of conduct adopted by the membership under Article VI. The Charter is the primary governing instrument of the Alliance and controls in any inconsistency between it and these Terms.
Dues and payment
Annual membership dues are payable upon registration and upon each anniversary thereafter. Dues are non-refundable except as set forth under Refunds below. The Alliance reserves the right to modify dues amounts upon advance notice to members; current members may elect to continue at the then-current rate through the end of their paid term or to terminate membership without penalty.
Conduct and discipline
Members are subject to the code of conduct and the disciplinary procedures established under the Charter. Suspension or expulsion of a member may result from violation of the code of conduct, misrepresentation in registration materials, loss of applicable professional licensure, or other grounds set forth in the Operating Rules, in each case subject to due process.
Intellectual property
The AOREP name, seal, and related marks are the property of the Alliance. Members in good standing are licensed to indicate their membership using the member badge as published by the Alliance. Other use of the name or seal — including any use that implies Alliance endorsement, sponsorship, or accreditation beyond the fact of membership — is prohibited and may result in loss of the license upon breach.
Disclaimers
The Alliance provides membership services, verification, publication, and access to infrastructure operated under separate contract. The Alliance does not itself transact real estate, does not provide legal or financial advice, and does not guarantee outcomes of transactions conducted within the network. Transactions are between the parties to them, conducted under contracts authored by the attorneys who adopt them, and subject to the laws of the applicable jurisdictions. Members and consumers should seek appropriate professional advice for matters requiring it.
Limitation of liability
To the fullest extent permitted by law, the Alliance's liability in connection with membership, use of the site, or participation in the network is limited to the amount of dues or fees paid by the claimant to the Alliance in the twelve months preceding the event giving rise to the claim. The Alliance is not liable for indirect, incidental, consequential, or punitive damages.
Governing law and dispute resolution
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. Disputes arising from these Terms or from membership in the Alliance shall be resolved by binding arbitration in Wyoming, except that either party may seek injunctive relief in a court of competent jurisdiction for matters of intellectual property protection or charter enforcement. Class actions and representative proceedings are waived to the extent permitted by law.
Amendments
The Alliance may amend these Terms from time to time. Material amendments will be communicated to members in advance of their effective date, and continued participation in the Alliance after the effective date constitutes acceptance of the amended Terms.
II. Privacy
Effective MMXXVIThis notice describes the information AOREP collects from members, prospective members, and visitors, and how that information is used.
Information collected
The Alliance collects information in connection with registration, verification, and the administration of membership. Categories of collected information include:
- Identifying information (name, contact details, jurisdiction of practice) provided at registration
- Professional credentials (license number, bar admission, professional category) provided at registration and updated during membership
- Verification information obtained from licensing authorities and other authoritative sources as part of the admission procedure
- Transaction information related to dues payments, contributions, and Close Share activity, including payment card information processed through the Alliance's payment provider
- Usage information concerning access to and interaction with the Alliance's site and member services
How information is used
Information is used for the administration of membership (verification, communication, dues processing), for the maintenance of the Reputation Ledger in accordance with its published rules, for publication of the Alliance's verified professional roster, and for compliance with legal obligations. Information is not sold. Information is not used for advertising to members or to third parties.
Disclosure to third parties
The Alliance shares information with service providers under contract — including payment processors, verification services, and the infrastructure provider Real Smart Ledger LLC — as necessary to administer membership and operate the network. Such providers are bound by contractual confidentiality obligations. The Alliance discloses information in response to lawful process, to protect its rights and property, or with the member's consent.
Retention
Information is retained for the duration of membership and for a reasonable period thereafter, consistent with legitimate operational, legal, and archival purposes. Contributions to the Reputation Ledger are retained within the rolling window of currency established in the Operating Rules, with archival retention thereafter. Members may request deletion of non-archival information subject to the Alliance's legal and operational obligations.
Member choices
Members may access and update their information through their member account, request correction of inaccurate information, and request deletion subject to the retention terms above. Requests are addressed through the Office of the Chairman.
Security
The Alliance maintains administrative, technical, and physical safeguards designed to protect information from unauthorized access, use, or disclosure. No system is perfectly secure; the Alliance does not warrant that its safeguards will prevent every intrusion or error.
Changes to this notice
The Alliance may update this notice from time to time. Material changes will be communicated to members in advance.
III. Charter Reference
Effective MMXXVIThe Governance Charter is the primary governing instrument of the Alliance. The full text of the Charter, including the Articles of the Alliance, the founding principles, the Open Data Covenant, the terms of the Reputation Ledger, and the infrastructure relationship with Real Smart Ledger LLC, is published at Governance.
In any conflict between these Terms and the Charter, the Charter controls. Members are deemed to have notice of the Charter upon registration and are bound by its provisions as a condition of membership.
Amendments to the Charter are conducted under the procedures set forth in Article X. The founding principles set forth in Article III are not subject to amendment. Members with questions concerning the Charter, its interpretation, or any matter of governance are invited to address the Office of the Chairman.
IV. Refund Terms
Effective MMXXVIDues and contributions are addressed as follows.
Dues — verification failure
If an applicant's verification cannot be completed satisfactorily — for example, due to inability to confirm applicable licensure, material discrepancy in submitted information, or inability to confirm identity — the Alliance will refund the full amount of paid dues within a reasonable period, typically thirty days. No determination of professional fitness is entered on the applicant's record as a consequence of unsuccessful verification.
Dues — voluntary withdrawal within fourteen days
A newly admitted member may withdraw from the Alliance within fourteen days of admission and receive a full refund of paid dues, provided the member has not made material use of member services during that period. Requests are addressed through the Office of the Chairman.
Dues — subsequent periods
Dues for periods beyond the fourteen-day window are non-refundable. Members may terminate membership at any time; dues for the then-current period will not be refunded, and membership continues through the end of the paid period unless terminated for cause by the Alliance.
Contributions
Contributions are non-refundable. A contributor who believes a contribution was made in error may contact the Office of the Chairman; the Alliance will consider refund requests on a case-by-case basis and at its discretion.
Close Share contributions
Close Share contributions made voluntarily at transaction close are non-refundable, consistent with their character as completed contributions to the network's operations.
